Terms and Conditions

These Terms and Conditions (the "Terms") constitute an extensive, legally binding agreement governing all access to and use of the Skalet.ai Platform. By using the Platform, you irrevocably agree to be bound by these Terms.

1Nature of the Platform

Skalet operates exclusively as a technology-enabled facilitation platform. Skalet is not a motor carrier, freight broker, or employment agency. We do not control or guarantee User conduct, transactions, or compliance. All interactions occur solely between Users at their own risk.

2No Employment or Agency Relationship

Nothing in these Terms creates an employment, agency, partnership, or fiduciary relationship between Skalet and any User. Users are independent contractors responsible for their own actions and compliance.

3Eligibility and Authority

Users must be at least 18 years old and have the authority to bind any entity they represent. Skalet may deny or revoke access at any time.

4Account Security

You are responsible for maintaining the confidentiality of your account credentials. You are liable for all activities that occur under your account.

5User Obligations

Users must provide accurate information, independently verify counterparties, and comply with all applicable laws. Skalet does not verify or endorse User information.

6Prohibited Conduct

You agree not to engage in fraud, data scraping, reverse engineering, or any unlawful or harmful conduct. Violations may result in immediate termination.

7Regulatory Compliance

Skalet makes no representations regarding compliance with FMCSA, DOT, or other regulations. Users are solely responsible for their own compliance.

8Fees and Payments

All fees are non-refundable unless stated otherwise. Users are responsible for all applicable taxes and duties.

9Intellectual Property

The Platform is owned by Skalet. You are granted a limited license to access it. Any content you submit is licensed to Skalet for operation and improvement.

10Confidentiality

You agree to keep non-public information obtained through the Platform confidential and use it only for lawful purposes.

11Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

12Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKALET SHALL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY IS LIMITED TO FEES PAID IN THE LAST 12 MONTHS.

13Dispute Resolution

All disputes shall be resolved through binding arbitration on an individual basis. You waive any right to a jury trial or class action.
